This transaction involved the disposition of Adams's manufacturing assets and a facility lease in Texas to Cardinal for $5 million cash under an asset purchase agreement, and the simultaneous execution of a long-term product supply agreement and intellectual property license grant between the parties to ensure continued production of Adams's products. In addition to the supply agreement, Adams also entered into a commercial services agreement, a quality assurance agreement, a sublease agreement for the lease-back of office space at the Texas manufacturing site, and a transition services agreement, in connection with this transaction. Kelley Drye also represented Adams in its negotiation with a New Jersey landlord and its execution of both a temporary office lease and a separate long-term lease for a new corporate headquarters under construction in New Jersey. Finally, the Firm assisted Adams in securing an incentive grant from the New Jersey Economic Development Authority, under its Business Employment Incentive Program ('BEIP'), in connection with its relocation to New Jersey from Texas. Application for a BEIP grant requires that the applicant demonstrate, among other matters, the creation of a net increase in employment by the business in New Jersey and that the project is economically sound and will strengthen New Jersey's economy. Adams markets and sells prescription and non-prescription pharmaceuticals for the treatment of respiratory disorders and diseases, including expectorant and cough suppressant Mucinex and allergic rhinitis medication AlleRx. Julian attributed the recent focus on white collar crime, in part, to the fall of the stock market in 2000, which put pressure on many companies such as WorldCom, and in turn resulted in greater emphasis by the government on investigation of corporate fraud at these affected companies. He also stated that the government's actions are a result of New York State Attorney General Eliot Spitzer's aggressive stance, causing government regulators, including the SEC, to become equally aggressive. Julian further stated that the tolerance of our society for misconduct by executives has generally declined.
